Terms & export conditions

General commercial terms and export sales provisions of N&H Automobile for business-to-business transactions (B2B).

Important Notice: Commercial Sales & Export Only (B2B)

Our vehicle inventory is primarily directed at commercial entrepreneurs, dealers, and export companies pursuant to § 14 German Civil Code (BGB). Vehicles without valid roadworthiness inspection (TÜV) or with high mileage are sold strictly without statutory warranty.

§ 1 Scope & Contracting Parties

(1) These General Terms and Conditions govern all sales contracts, deliveries, and services between N&H Automobile (hereinafter referred to as the "Seller") and the Buyer.

(2) By signing the purchase agreement or placing an order, the Buyer explicitly confirms acting in the capacity of a commercial business or independent entrepreneur.

§ 2 Vehicle Condition, Roadworthiness & Warranty Exclusion

(1) The vehicles sold are pre-owned commercial vehicles, partly with high mileage, cosmetic/mechanical wear, or without valid inspection badges (TÜV).

Statutory warranty for material defects is entirely excluded for B2B export transactions ("Sold as seen, without any warranty for defects").

(2) This exclusion does not apply in cases of intentional harm or gross negligence where liability cannot be excluded under statutory law.

§ 3 Non-EU Export, VAT Security Deposit & Customs

(1) For exports to non-EU destination countries, the sale qualifies for VAT-free treatment (§ 6 German VAT Act) provided all statutory export documents are verified.

VAT Deposit Procedure:

The buyer deposits a security guarantee equal to German VAT (19% of net value).
Once the vehicle exits the EU, the customs exit confirmation (Ausgangsvermerk / MRN) is validated.
Upon verification, the full deposit is promptly wired back to the buyer’s bank account.

§ 4 Intra-Community Supply (EU-B2B)

For commercial buyers located in EU Member States, tax-exempt intra-Community supply applies under the following prerequisites:

1. Vorlage einer gültigen ausländischen Umsatzsteuer-Identifikationsnummer (USt-IdNr. / VIES-geprüft).

2. Gültige Gewerbeanmeldung / Handelsregisterauszug sowie Ausweiskopie des Zeichnungsberechtigten.

3. Vollständig unterzeichnete Gelangensbestätigung nach erfolgter Überführung ins Bestimmungsland.

§ 5 Payment, Transfer of Risk & Pickup

(1) Payment must be completed via verified bank transfer or cash upon collection in full compliance with German anti-money laundering (GwG) regulations.

(2) Unless agreed otherwise in writing, delivery is Ex Works (EXW). Risk of accidental loss passes to the buyer upon handover to the driver or carrier.

§ 6 Applicable Law & Jurisdiction

(1) The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Place of exclusive jurisdiction for all commercial disputes is the registered corporate seat of N&H Automobile in Germany.
